License Agreement

BEFORE DOWNLOADING ANY TRAINING MATERIAL, YOU MUST CONFIRM YOUR AGREEMENT TO THE TERMS OF THIS LICENSE.

DEFINITIONS:

The term “Training Material”, as used in this agreement means the written, printed manual, other materials, handouts, audio and visual materials contained in this Training Program and notebook together with any updates subsequently supplied by Your Network 4 Success sm (YNS). 

RIGHTS AND LIMITATIONS:

This license gives you certain limited rights to use the Training Material. You do not become the owner of the Training Materials. Your Network 4 Success retains title and ownership to all the Training Materials, Training Manuals, copies of the Training Materials, handouts, etc.. In addition you agree to use reasonable efforts to protect the Training Materials from unauthorized use, reproduction, distribution or publication. All rights not specifically granted in this license are reserved by Your Network 4 Success. You must also warrant to us that you will act on the proprietary information we share with you, immediately upon learning of the concepts. You are also agreeing to report back to us the results of your progress every eleven (11) months.

PERMITTED USES:

  • As a trainee or manager you may make and maintain a sufficient number of copies to provide to personnel within your span of control for training purposes.
  • Each of the staff or professionals who receive a copy of the materials must receive a copy of the Participant Material License Agreement and sign to acknowledge their acceptance of these terms. The original signed forms must be sent to YNS at the beginning of every training program.

USES NOT PERMITTED: You may not,

  • Make copies of any training materials, except as permitted above.
  • Make copies of any related support training materials (i.e. overhead transparencies, handouts, etc.), except as permitted above.
  • Supply, give, loan or otherwise permit individuals access to these Training Materials that are outside your immediate span of control or who might reuse these Training Materials in other business units, divisions companies, etc. That includes training managers, division sales managers, joint venture partners, etc.
  • Remove or obscure the Your Network 4 Success sm copyright, trademark or service mark notices.
  • Use the Training Materials, handouts, audio and visual materials, etc. outside the United States or Canada, without specific written authorization from a Your Network 4 Success sm officer.

DURATION:

This agreement is effective from the day you download the Training Materials. Your license continues for fifty (50) years or until you return to Your Network 4 Success the original Training Materials and any copies, which ever comes first.

If you breach this agreement, we can terminate this license upon written notification. You will be required to return all Training Materials and related materials. We can also enforce our other legal rights.

GENERAL:

This agreement represents our entire understanding and agreement regarding the Training Materials and supersedes any prior purchase order, communication, advertising or representations.

This license may only be modified in a written amendment signed by an authorized Your Network 4 Success officer. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, it shall be deemed severable from, and shall in no way affect the validity or enforceability of the remaining provisions of this agreement. This agreement will be governed by New York State laws.
